Terms of Service
These terms govern your use of the Elitez EOR service. By signing up you agree to them.
1. The parties
"Elitez", "we" and "us" means Elitez Group of Companies, a Singapore-incorporated entity. "You" and "Customer" means the business entity (and its authorised representative) that signs up at eor.elitez.ai.
2. The service
Elitez EOR is a Employer of Record service that, once activated, makes Elitez the legal employer of nominated individuals on your behalf. We handle CPF, WICA insurance, IR8A, and salary administration. You remain the day-to-day operational supervisor of those individuals.
3. Onboarding & KYC
- You must provide an accurate ACRA bizfile, a director's NRIC, and the registered company contact phone.
- We perform KYC verification before any employee can be placed on our payroll. KYC review typically completes in one business day.
- If KYC is rejected, you may resubmit. We do not charge fees while KYC is pending.
4. Fees
- Plan: S$59 per active employee per month (Singapore Dollars, exclusive of GST).
- Billing cycle: calendar-monthly, in advance.
- Setup fee: None for the Standard plan.
- Salary float: You must pre-fund the salary + CPF for the upcoming pay-cycle by the 25th of each month. Late funding may delay employee salary disbursement; Elitez is not liable for any consequential employee claim.
5. Your obligations
- Submit accurate employee data (NRIC/FIN, DOB, address, bank, salary) before each cut-off.
- Promptly report leavers, salary changes, MOM-relevant changes (work permit status, etc.).
- Maintain a current contact email at the registered address; missed correspondence is your risk.
- Comply with the MOM Employment Act and any applicable sectoral law in your day-to-day supervision of placed employees.
6. Our obligations
- File CPF, WICA, IR8A on time, in accordance with statutory deadlines.
- Disburse salaries on the agreed cut-off provided we have received clean funding.
- Maintain Singapore-region storage with encryption at rest.
- Provide month-end statements and an annual IR8A pack.
7. Termination
Either party may terminate this agreement on 30 days' written notice. On termination:
- Employees on our payroll must be transferred to a new employer (your own entity or another EOR) before the termination date; otherwise we must legally serve statutory notice on those employees.
- You remain liable for any salary, CPF and statutory amount accrued up to the transfer date.
- We will return all client data on request, in a structured machine-readable format, within 30 days.
8. Suspension
We may suspend the service immediately if: (a) KYC information is found to be falsified, (b) payment is more than 14 days overdue, (c) you are a party to a regulator order requiring suspension, or (d) we have a reasonable basis to suspect fraud or money laundering.
9. Liability
Our maximum aggregate liability for any claim arising from this agreement is limited to the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages.
10. Confidentiality
Each party will hold the other's confidential information in confidence and use it only to operate the service. This obligation survives termination for 5 years.
11. Data protection
Our handling of personal data is governed by the Privacy Notice, incorporated by reference. The Customer warrants it has the legal basis to share employee personal data with Elitez as a processor.
12. Statutory carve-outs
Nothing in these terms excludes or limits liability that cannot be excluded under Singapore law (including the Employment Act, CPF Act, and Income Tax Act).
13. Governing law & disputes
These terms are governed by Singapore law. Any dispute will first be referred to good-faith negotiation; failing that, to mediation under the Singapore Mediation Centre; failing that, to the Singapore International Arbitration Centre under its arbitration rules.
14. Changes
Material changes to these terms are emailed to the registered address of every active tenant 30 days before they take effect. Continued use after the effective date constitutes acceptance.
